Terms of Service - Webcentric, LLC
Welcome to Webcentric, LLC ("Webcentric," "we," "us," or "our"). By using our website, any of our design services, or any other services ("Services"), you agree to be bound by the following terms and conditions ("Terms of Service" or "Agreement"). Please read these Terms of Service carefully before using our Services. If you do not agree to these Terms of Service, you may not use our Services.

Webcentric provides web design and related services, including but not limited to website design, development, maintenance, and hosting. The specific scope of work and deliverables will be outlined in a separate agreement or proposal between Webcentric and the client ("Client"). Webcentric reserves the right to refuse or terminate Services at its discretion.

Client Obligations

As a Client, you agree to provide accurate and complete information to Webcentric for the performance of Services. You are responsible for providing all necessary content, images, and materials in a timely manner. You grant Webcentric the right to use and display the Client's content on the website as part of the Services. You are solely responsible for the accuracy, legality, and compliance of your content.

Payment and Billing

Clients agree to pay Webcentric the agreed-upon fees for Services. Payment terms and amounts will be outlined in the separate agreement or proposal. Webcentric may require a deposit or partial payment before starting any work. Failure to pay fees may result in suspension or termination of Services. All fees are non-refundable, except as otherwise stated in writing by Webcentric.

Intellectual Property

Webcentric retains ownership of all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, associated with its Services. Client's use of the deliverables or final product created by Webcentric is limited to the scope of work outlined in the separate agreement or proposal. Client may not modify, distribute, or reproduce any part of the deliverables without Webcentric's prior written consent.

Confidentiality

Webcentric and Client agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of Services. Confidential information includes but is not limited to trade secrets, business strategies, client lists, and technical specifications. Both parties agree not to disclose or use confidential information for any purpose other than the performance of Services.

Warranty and Liability

Webcentric makes no warranties or guarantees regarding the performance, reliability, or availability of its Services. Webcentric is not liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from the use or inability to use its Services or any content or materials provided by Webcentric. Client agrees to indemnify and hold harmless Webcentric from any claims, damages, or liabilities arising from the use of the website or Services.

Termination

Either party may terminate the Services for any reason by providing written notice to the other party. Webcentric may terminate Services immediately for breach of these Terms of Service or for any other valid reason. Upon termination, Client's access to the website or Services will be terminated, and Client shall pay all fees due up to the termination date.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the state where Webcentric is located, without regard to its conflicts of law provisions. Any disputes arising from or relating to these Terms of Service or the Services shall be resolved exclusively in the state or federal courts located in the jurisdiction where Webcentric is located.

Miscellaneous

These Terms of Service constitute the entire agreement between Webcentric and the Client, and supersede all prior or contemporary.
