Terms of Service - Webcentric, LLC

Welcome to Webcentric, LLC ("Webcentric," "we," "us," or "our"). By using our website, any of our design services, or any other services ("Services"), you agree to be bound by the following terms and conditions ("Terms of Service" or "Agreement"). Please read these Terms of Service carefully before using our Services. If you do not agree to these Terms of Service, you may not use our Services.

  1. Services

    • Webcentric provides web design and related services, including but not limited to website design, development, maintenance, and hosting. The specific scope of work and deliverables will be outlined in a separate agreement or proposal between Webcentric and the client ("Client"). Webcentric reserves the right to refuse or terminate Services at its discretion.

  2. Client Obligations

    • As a Client, you agree to provide accurate and complete information to Webcentric for the performance of Services. You are responsible for providing all necessary content, images, and materials in a timely manner. You grant Webcentric the right to use and display the Client's content on the website as part of the Services. You are solely responsible for the accuracy, legality, and compliance of your content.

  3. Payment and Billing

    • Clients agree to pay Webcentric the agreed-upon fees for Services. Payment terms and amounts will be outlined in the separate agreement or proposal. Webcentric may require a deposit or partial payment before starting any work. Failure to pay fees may result in suspension or termination of Services. All fees are non-refundable, except as otherwise stated in writing by Webcentric.

  4. Intellectual Property

    • Webcentric retains ownership of all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, associated with its Services. Client's use of the deliverables or final product created by Webcentric is limited to the scope of work outlined in the separate agreement or proposal. Client may not modify, distribute, or reproduce any part of the deliverables without Webcentric's prior written consent.

  5. Confidentiality

    • Webcentric and Client agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of Services. Confidential information includes but is not limited to trade secrets, business strategies, client lists, and technical specifications. Both parties agree not to disclose or use confidential information for any purpose other than the performance of Services.

  6. Warranty and Liability

    • Webcentric makes no warranties or guarantees regarding the performance, reliability, or availability of its Services. Webcentric is not liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from the use or inability to use its Services or any content or materials provided by Webcentric. Client agrees to indemnify and hold harmless Webcentric from any claims, damages, or liabilities arising from the use of the website or Services.

  7. Termination

    • Either party may terminate the Services for any reason by providing written notice to the other party. Webcentric may terminate Services immediately for breach of these Terms of Service or for any other valid reason. Upon termination, Client's access to the website or Services will be terminated, and Client shall pay all fees due up to the termination date.

  8. Governing Law and Jurisdiction

    • These Terms of Service shall be governed by and construed in accordance with the laws of the state where Webcentric is located, without regard to its conflicts of law provisions. Any disputes arising from or relating to these Terms of Service or the Services shall be resolved exclusively in the state or federal courts located in the jurisdiction where Webcentric is located.

  9. Miscellaneous

    • These Terms of Service constitute the entire agreement between Webcentric and the Client, and supersede all prior or contemporary.

WEB CENTRIC – WEBSITE SUBSCRIPTION (BASIC) PLAN POLICY

1. Payment Terms

  • The subscription is billed as a recurring monthly subscription.

  • Payments continue automatically until a formal cancellation request is submitted.

  • By submitting payment, the client agrees to all Webcentric policies, Terms of Service, and the terms listed on this page.

  • Webcentric may adjust future pricing for accounts requiring significant maintenance, extra product uploads, or excessive edits.

  • All subscription payments are non-refundable.

2. Website Ownership & Licensing

  • All website designs, layouts, templates, assets, and digital materials created by Webcentric remain the exclusive property of Webcentric.

  • The client receives a monthly license to use the website while their subscription remains active.

  • If the subscription ends or payment lapses, Webcentric may:

    • Suspend or deactivate the website

    • Remove access to backend tools

    • Replace the website with a cancellation notice

    • Retain all design files and assets

  • The client does not own the website unless a separate buyout fee is paid (standard buyout: $2,500).

3. Cancellation Policy

To cancel, the client MUST submit a written request through one of the following:

Cancellations submitted through any other method (text, phone call, social media, etc.) are not valid.

Additional terms:

  • A 30-day written notice is required.

  • All payments processed before the cancellation effective date are non-refundable.

  • Website access will be removed at the end of the final subscription period.

4. Maintenance & Support

  • Includes unlimited small edits (changes requiring less than 10 minutes).

  • Larger updates may incur additional fees.

  • Edit turnaround: 48–72 hours (business days).

  • Includes ongoing website monitoring, hosting support, and security updates.

5. Content Requirements

The client agrees to provide all necessary materials in a timely manner, including:

  • Business information

  • Images and logos (or approval to use stock images)

  • Text content

  • Credentials for connected platforms (Google Business Profile, social media, domain access, etc.)

Webcentric is not responsible for delays caused by incomplete or missing content.

6. Additional Fees for Product-Heavy Websites

Websites requiring frequent product uploads/updates or large e-commerce catalogs may incur additional monthly fees.

Webcentric reserves the right to:

  • Adjust the subscription price

  • Charge additional service fees

  • Apply these changes starting the following billing cycle

Pricing adjustments will be communicated beforehand.

7. Intellectual Property Access & Permissions

The client grants Webcentric a non-exclusive, worldwide, royalty-free license to access and use any intellectual property provided for service delivery, including:

  • Logos

  • Images

  • Text and written content

  • Product data

  • Branding materials

  • Login credentials

  • Business information

Client confirms they own (or have rights to use) all materials provided and accepts full responsibility for any copyright issues.

8. No Guarantees or Promised Results

Client understands that Webcentric does not guarantee:

  • Increased sales or revenue

  • Improved search engine rankings

  • More leads or conversions

  • Specific business outcomes or performance

Services are performed based on industry best practices.

9. Failure to Pay

If a payment is missed or declined:

  • Website may be deactivated

  • All maintenance and support will pause

  • A reactivation fee may apply

  • Repeated non-payment may result in permanent termination of the website license

10. Agreement to Terms

By subscribing, making payment, or continuing to use the services, the client acknowledges and agrees to:

  • This Website Subscription Plan Policy

  • Webcentric’s Terms of Service

  • Webcentric’s Privacy Policy

  • Any additional service agreements supplied by Webcentric

WEB CENTRIC – GROWTH PACKAGE PLAN POLICY 

1. Payment Terms

  • The Growth Membership is billed on a recurring basis.

  • Payments continue automatically until a formal cancellation request is submitted.

  • By subscribing or submitting payment, the client agrees to all Webcentric policies and Terms of Service.

  • All payments are non-refundable, including partially used months.

  • Webcentric may adjust pricing in the future based on workload, increased posting requirements, expanded SEO needs, or market conditions.

2. Service Inclusions

The $1,000/month Growth Membership includes:

SEO Services

  • Monthly keyword research and optimization

  • On-page SEO improvements

  • Google Business Profile optimization

  • Monthly SEO report + analytics

  • Tracking 5–20 keywords depending on industry

  • Light backlink building

  • Technical SEO checks (site speed, metadata, errors)

Social Media Management

  • Up to 12 plus posts per month

  • Captions + hashtag research

  • Content calendar

  • Posting to Instagram + Facebook

  • Monthly analytics report

  • Basic engagement 

3. Required Client Participation & Materials

Client agrees to provide:

  • Access credentials to Google Business Profile, social media accounts, and website

  • Brand guidelines (colors, fonts, tone)

  • Images, videos, and promotional materials

  • Details of promotions, events, or updates

  • Approvals of content in a timely manner

Webcentric is not responsible for delays caused by missing or late content.

4. Cancellation Policy

To cancel, the client must send a written request through:

Cancellations submitted through phone, text, or social media are not valid.

Additional terms:

  • A 30-day written notice is required.

  • All payments processed during the notice period are non-refundable.

  • Services will continue until the end of the paid period; no partial-month refunds will be issued.

5. Performance Disclaimer

Client understands that Webcentric does not guarantee:

  • Specific ranking improvements

  • Lead volume or conversion results

  • Revenue increases

  • Social media follower growth

  • Any future outcomes of SEO or social media campaigns

Marketing performance is influenced by factors outside Webcentric’s control (competition, seasonality, search algorithm changes, industry trends, etc.).

6. Intellectual Property & Access Rights

Client grants Webcentric a non-exclusive, worldwide, royalty-free license to use all materials necessary to perform services, including:

  • Logos

  • Images

  • Videos

  • Written content

  • Branding elements

  • Product/service information

  • Account credentials

Client confirms they own or have legal rights to all submitted materials.

All content created by Webcentric (captions, designs, post templates, strategies) remain the intellectual property of Webcentric unless otherwise agreed.

7. Content Ownership & Usage

  • Webcentric retains ownership of all created marketing assets, including templates, graphics, and strategies.

  • The client receives usage rights while actively subscribed.

  • If the subscription ends, the client loses access to Webcentric-created templates and design files unless a separate buyout agreement is made.

8. Workload Adjustments & Additional Fees

Webcentric reserves the right to apply additional charges if:

  • The client requests more than 12 posts/month

  • Custom video edits or advanced graphics are required

  • The client needs multi-platform posting beyond IG & FB

  • The client adds additional locations or business lines

  • SEO requires heavy restructuring due to poor website conditions

All pricing adjustments take effect the following billing cycle.

9. Failure to Pay

If payment is missed or declined:

  • SEO work will pause

  • All social media posting will stop

  • Account access may be removed

  • A reactivation fee may apply

Continued non-payment results in service termination.

10. Agreement to Terms

By subscribing, paying, or continuing service, the client agrees to:

  • This Growth Membership Plan Policy

  • Webcentric’s Terms of Service

  • Webcentric’s Privacy Policy

  • Any additional service agreements

WEB CENTRIC – FULL-SERVICE MARKETING SUITE POLICY 

 

1. Payment Terms

  • The Full-Service Marketing Suite is billed as a recurring monthly subscription.

  • Payments continue automatically until a formal cancellation request is submitted.

  • All payments are non-refundable, including partially used months.

  • By submitting payment, the client agrees to all Webcentric policies and Terms of Service.

  • Webcentric may adjust future pricing for clients requiring additional workload, expanded posting needs, heavy product management, or additional SEO tasks.

2. Services Included in the Full-Service Marketing Suite

The $1,347/mo plan includes all services from the Website Subscription + Growth Membership.

A. Website Services (Included)

  • Custom-designed website (up to 7 pages)

  • Hosting & premium platform fees included

  • Unlimited small edits (under 10 minutes per request)

  • Quarterly website refresh

  • Mobile optimization

  • Domain connection & management

  • Website monitoring & security updates

  • Priority support (24–48 hour turnaround)

B. SEO Services (Included)

  • Monthly keyword research + optimization

  • On-page SEO improvements

  • Technical SEO checks

  • Google Business Profile optimization

  • Monthly SEO performance report

  • Tracking 15–25 keywords

  • Light backlink building

  • Competitor monitoring

C. Social Media Management (Included)

  • Up to 16 posts per month

  • Captions + hashtag strategy

  • Content calendar

  • Posting to Instagram + Facebook

  • Basic engagement (likes, responses to simple comments)

  • Monthly social media analytics report

3. Required Client Participation & Materials

Client agrees to provide:

  • All necessary branding materials (logos, colors, fonts)

  • Access credentials to website, social media, and Google Business Profile

  • Photos, videos, and any promotional materials

  • Business information for accurate content creation

  • Timely approvals of content and designs

Webcentric is not responsible for delays due to incomplete or late materials.

4. Cancellation Policy

To cancel the Full-Service Marketing Suite, the client must submit a written request through:

Cancellations submitted through phone calls, text messages, or social media are not valid.

Additional cancellation terms:

  • A 60-day written notice is required due to the bundled nature of website + SEO + SMM services.

  • All payments within the 60-day cancellation period are non-refundable.

  • Services remain active until the final paid month ends.

5. Website Ownership & Licensing

  • All website designs, templates, layouts, and digital assets created by Webcentric remain the exclusive intellectual property of Webcentric.

  • The client is granted a monthly license to use the website while their subscription is active.

  • If the subscription ends or payment lapses, Webcentric may:

    • Suspend or deactivate the website

    • Remove access to backend management

    • Replace the website with a cancellation notice

    • Retain all files and design assets

Website Buyout Option:

Clients may request full ownership of the website for a $2,500 buyout fee (after 12 months of active service).

6. Intellectual Property Access & Permissions

Client grants Webcentric a non-exclusive, worldwide, royalty-free license to use all materials required to perform services, including:

  • Logos

  • Images

  • Videos

  • Written content

  • Product/Service information

  • Branding materials

  • Account credentials

Client confirms they own or have rights to all submitted materials.
Client assumes responsibility for copyright issues arising from their content.

All assets created by Webcentric (graphics, templates, strategies, captions, SEO structures, etc.) remain the intellectual property of Webcentric unless a separate buyout agreement is made.

7. Performance Disclaimer

Client understands that Webcentric does not guarantee:

  • Increased sales or revenue

  • Specific SEO ranking improvements

  • Lead volume or conversions

  • Social media follower growth

  • Any financial or business outcome

SEO, social media, and website performance depend on factors outside Webcentric’s control (competition, algorithms, market conditions, etc.).

8. Workload Adjustments & Additional Fees

Webcentric reserves the right to apply additional monthly charges if:

  • More than 16 posts/month are required

  • Client requests multi-platform posting beyond IG + FB

  • SEO requires major restructuring

  • The website contains large product catalogs

  • Complex custom design work is requested

  • The client adds additional business locations

Adjusted pricing begins the following billing cycle.

9. Failure to Pay

If a payment is missed or declined:

  • SEO services pause

  • Social media posting stops

  • Website may be deactivated

  • A reactivation fee may apply

  • Continued non-payment results in permanent termination of license and services

10. Agreement to Terms

By subscribing, paying, or continuing service, the client agrees to:

  • This Full-Service Marketing Suite Policy

  • Webcentric’s Terms of Service

  • Webcentric’s Privacy Policy

  • All additional service agreements
