Continued Webcentric – Terms of Service

Effective Date: 02/27/2026

These Terms of Service (“Terms”) govern the use of services provided by Webcentric (“Company,” “we,” “us,” or “our”) to any client (“Client,” “you,” or “your”). By engaging our services, you agree to these Terms.

​

 

1. Services

Webcentric provides digital marketing services including, but not limited to:

  • Website management and maintenance

  • Search engine optimization (SEO)

  • Social media management

  • Paid advertising management (where applicable)

  • Related digital marketing services as agreed upon

  • Design and other Marketing related services.

Specific services are defined by the selected subscription tier, proposal, or written agreement.

2. Subscriptions & Billing

  • Services are provided on a monthly subscription basis, unless otherwise stated.

  • Payment is due in advance and billed automatically each billing cycle.

  • Subscription fees are non-refundable once a billing cycle begins.

  • Advertising spend is not included in subscription fees and is paid directly by the Client to the advertising platform.

3. Cancellation

  • Clients may cancel their subscription at any time by providing written notice.

  • Services will continue through the end of the current billing period.

  • No partial refunds are issued for unused time.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate and timely information required to perform services

  • Grant access to necessary accounts (website, hosting, social platforms, ad accounts)

  • Review and approve content or materials in a timely manner

  • Comply with all applicable laws and platform policies

Delays caused by lack of access, approvals, or feedback may impact timelines and performance.

5. Contractors & Subcontractors

Webcentric may use third-party contractors, subcontractors, or service providers to perform some or all of the services on behalf of the Client.

The Client acknowledges and agrees that Webcentric retains full discretion in selecting, managing, and assigning any contractors used to deliver services. Webcentric is not required to disclose the identities of individual contractors.

The use of contractors does not alter the terms of this agreement or create any direct contractual relationship between the Client and any contractor.

6. No Guaranteed Results

Webcentric does not guarantee specific outcomes, including but not limited to:

  • Revenue increases

  • Lead volume

  • Search engine rankings

  • Advertising performance

Marketing results depend on factors outside our control, including competition, market conditions, platform changes, and client participation.

7. Intellectual Property

  • Upon payment, the Client retains ownership of their original content and materials.

  • Webcentric retains ownership of internal processes, workflows, templates, strategies, and methodologies.

  • Any third-party software, tools, or platforms remain subject to their respective terms and licenses.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Webcentric shall not be liable for indirect, incidental, or consequential damages.

  • Total liability shall not exceed the amount paid by the Client during the previous billing cycle.

​

 

9. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, unless disclosure is required by law.

​

 

10. Termination

Webcentric reserves the right to suspend or terminate services if:

  • Payment is not received

  • The Client violates these Terms

  • The Client engages in unlawful, unethical, or abusive behavior

​

 

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

​

 

12. Changes to Terms

Webcentric may update these Terms from time to time. Continued use of services constitutes acceptance of the updated Terms.
